| Patrick Downey Position: President, Chief Executive Officer and Director Mr. Downey was appointed President and Chief Executive Officer of Elgin Mining Inc. in July 2011 bringing with him over 25 years of international experience in the resource industry. Prior to joining Elgin Mining Inc. Mr. Downey held the position of President, Chief Executive Officer and Director of Aura Minerals Inc. Mr. Downey was President, Chief Executive Officer and Director of Viceroy Exploration Ltd. before its acquisition by Yamana Gold Inc. in 2006 for $600 million. Mr. Downey also served as President of Oliver Gold Corporation, where he negotiated the successful merger to form Canico Resource Corp., which was purchased by CVRD in 2006 for over $800 million. He has held numerous senior engineering positions at several large-scale gold mining operations and has also held operating positions at several mining projects for Anglo American Corporation in South Africa. | |

In addition, Mr. Sinclair was the former President & Chief Executive Officer of Quest Capital Corp. Mr. Sinclair has extensive knowledge in areas of asset backed lending, real estate, corporate restructuring and natural resources. He is also a director and officer of several other public companies. | Ravi Sood Position: Director Mr. Sood is the Chairman of Galane Gold Ltd., a junior gold producing company and Feronia Inc., a plantations and arable farming company. From 2004 until 2010 Mr. Sood was the Chief Executive Officer of Navina Asset Management Inc., a specialized global asset management firm. Mr. Sood holds a Bachelor of Mathematics with distinction from the University of Waterloo (1998). | John Huxley Position: Director Mr. Huxley is currently an independent director of Kinross, which position he has held since 1993. From 1997 to 2006 Mr. Huxley was a principal of Algonquin Management Inc., the manager of Algonquin Power Income Fund. Prior to that, Mr. Huxley was the President of Algonquin Power Corporation, a builder, developer and generator of hydro electric generating facilities in Canada and the United States. Mr. Huxley holds a Bachelor of Laws degree from Osgoode Hall Law School (1970). Mr. Huxley is a member of the Audit Committee and Corporate Governance, Nominating and Compensation Committee. | |
| Bob Wardell Position: Director Mr. Wardell is currently Chairman of Nuinsco Resources Ltd. Mr. Wardell served as the Vice-President, Finance and Chief Financial Officer of Victory Nickel Inc., from February 1, 2007 to January, 2009. From 2006 to 2007, Mr. Wardell was self-employed as an accounting and finance consultant. From 1986 to 2006 he was a senior audit partner with Deloitte & Touche LLP. Mr. Wardell is a member of the Institute of Chartered Accountants of Ontario. Mr. Wardell also serves as a director of Katanga Mining Limited, Allied Nevada Gold Corp., and Centric Health Corporation. Mr. Wardell is a member of the Audit Committee and Corporate Governance, Nominating and Compensation Committee. |
